Terms of Service

1. Acceptance of Terms
By accessing or using OdinFlow or any other product or service provided by Dead Viking Software ("we", "us", or "our"), you ("Customer", "you", "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not install, access, or use OdinFlow.
These Terms constitute a legally binding agreement between you and Dead Viking Software. By using OdinFlow, you represent that you have the authority to bind your organization to these Terms.
2. Description of Service
OdinFlow is a Jira Cloud automation application that provides form-based JQL query building, AI-assisted natural language query parsing, bulk ticket update payload construction, and scheduled automation workflows. OdinFlow uses machine learning models for natural language processing, intent classification, and entity extraction to help you build queries from plain-language descriptions. OdinFlow integrates with Atlassian Jira Cloud instances via official Atlassian APIs.
The Service is provided on a subscription basis with usage limits based on your selected plan tier.
3. Third-Party Services and Atlassian Integration
OdinFlow accesses and integrates with Atlassian Jira Cloud ("Jira") and related Atlassian services. Your use of OdinFlow is subject to both these Terms and Atlassian's Terms of Service, including the Atlassian Cloud Terms of Service and Atlassian Developer Terms.
You must have a valid Jira Cloud subscription and appropriate permissions within your Jira instance to use OdinFlow. We are not affiliated with, endorsed by, or sponsored by Atlassian. "Jira" and related trademarks are the property of Atlassian Pty Ltd.
We comply with Atlassian's API Terms of Use and Developer Terms. You are responsible for ensuring your use of OdinFlow complies with your agreement with Atlassian.
4. Account Registration and Authentication
To use OdinFlow, you must:
- Have a valid Jira Cloud instance with appropriate administrative permissions
- Authenticate via OAuth 2.0 with your Atlassian account
- Provide accurate and complete registration information
- Maintain the security and confidentiality of your authentication credentials
You are responsible for all activities that occur under your account. You must notify us immediately of any unauthorized access or security breach.
5. Subscription Plans and Billing
OdinFlow offers the following subscription tiers, billed per user through the Atlassian Marketplace:
- Standard Plan: Up to 1,500 Jira ticket bulk updates and automations per billing cycle, up to 5 scheduled events
- Premium Plan: Up to 5,000 Jira ticket bulk updates and automations per billing cycle, up to 15 scheduled events
- Enterprise Plan: Up to 50,000 Jira ticket bulk updates and automations per billing cycle, up to 50 scheduled events
Current per-user pricing for each tier is listed on the Atlassian Marketplace listing for OdinFlow.
Billing for Base Subscription: All subscription fees are calculated per user and processed through the Atlassian Marketplace according to Atlassian's billing policies. Payment is handled by Atlassian, and subscription management is done through your Atlassian account. All fees are non-refundable except as required by law or Atlassian's refund policies.
Add-On Features and Upgrades: We may introduce optional add-on features in the future, such as:
- Increased ticket update quotas beyond your plan's base limit
- Additional scheduled event slots
- Other premium enhancements
When add-ons become available, they will be billed separately via Stripe or other payment processors, and additional terms will apply. We will notify you when add-on features launch.
Usage Limits: If you exceed your plan's ticket update limit or scheduled event limit, OdinFlow may suspend automation execution until the next billing cycle or until you upgrade to a higher tier. We are not liable for any disruption caused by exceeding usage limits.
Price Changes: Subscription prices are subject to change. For base subscriptions billed through the Atlassian Marketplace, price changes are governed by Atlassian's billing policies and notice requirements. For any add-on services we may offer directly in the future, we will provide 30 days' advance notice of price changes. Continued use after price changes constitutes acceptance of new pricing.
Cancellation: You may cancel your subscription at any time through the Atlassian Marketplace or your Atlassian account. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.
6. Data Access and Usage
OdinFlow accesses the following data from your Jira Cloud instance:
- Jira issues (tickets), including issue keys, summaries, descriptions, status, assignees, labels, custom fields, and metadata
- Jira project information and configurations
- User information (name, email, account ID) for authentication and assignment purposes
- Workflow and transition data
We use this data solely to provide the OdinFlow service, including:
- Building and executing JQL queries
- Creating and applying bulk update payloads to Jira tickets
- Scheduling and running automation workflows
- Displaying query results and automation logs within OdinFlow
We do not use your Jira data for any purpose other than providing the Service. See our Privacy Policy for details on data storage, retention, and security.
7. User Obligations and Acceptable Use
You agree to:
- Use OdinFlow only for lawful purposes and in compliance with these Terms and all applicable laws
- Not use OdinFlow to violate Atlassian's Terms of Service or API usage policies
- Not attempt to reverse engineer, decompile, or disassemble OdinFlow
- Not use OdinFlow to transmit malware, viruses, or malicious code
- Not abuse, harass, or harm other users or systems via OdinFlow
- Not attempt to circumvent usage limits or access restrictions
- Not use OdinFlow in any way that could damage, disable, or impair our services or Atlassian services
- Ensure you have proper authorization to access and modify Jira data via OdinFlow
Violation of these obligations may result in immediate suspension or termination of your access to OdinFlow.
8. Service Availability and Support
Uptime: We strive to maintain high availability for OdinFlow but do not guarantee uninterrupted access. The Service is provided "as is" without uptime guarantees or service level agreements (SLAs).
Maintenance: We may perform scheduled or emergency maintenance that temporarily limits or suspends access to OdinFlow. We will provide reasonable advance notice for scheduled maintenance when possible.
Support: Support is provided via email. We strive to respond to inquiries based on your subscription tier:
- Standard Plan: Within 5-7 business days (target)
- Premium Plan: Within 3-5 business days (target)
- Enterprise Plan: Within 1-3 business days (target)
These are target response times, not contractual guarantees. Actual response times may vary based on issue complexity, support volume, and business calendar. Priority support applies to technical issues and billing questions only, not feature requests or general inquiries. Support is provided during U.S. business hours (Central Time).
API Dependencies: OdinFlow relies on Atlassian's APIs. Service disruptions or changes to Atlassian APIs may affect OdinFlow functionality. We are not liable for service interruptions caused by third-party API changes or outages.
9. Intellectual Property Rights
All content, software, trademarks, logos, and intellectual property related to OdinFlow and Dead Viking Software remain our exclusive property. These Terms do not grant you any right to use our trademarks, branding, or intellectual property without prior written consent.
You retain all rights to your Jira data. By using OdinFlow, you grant us a limited license to access and process your Jira data solely to provide the Service.
10. Termination
Termination by You: You may cancel your subscription at any time through your account settings or by contacting us. Termination takes effect at the end of the current billing period.
Termination by Us: We may suspend or terminate your access to OdinFlow immediately, with or without notice, if:
- You violate these Terms or Atlassian's Terms of Service
- Your payment fails or your account becomes delinquent
- You engage in fraudulent, abusive, or illegal activity
- We discontinue OdinFlow (with 30 days' notice when feasible)
Effect of Termination: Upon termination, your access to OdinFlow will cease, and scheduled automations will stop executing. See Section 11 for data deletion policies.
11. Data Deletion
Upon account cancellation or termination:
- OAuth tokens are invalidated and will not be refreshed, terminating access to your Jira instance
- Your OdinFlow configuration data (JQL queries, update payloads, scheduled events, conversation history, learned keyword preferences, and field mappings) will be retained for 30 days to allow for reactivation
- After 30 days, all configuration data will be permanently deleted
- Cached Jira data (if any) is deleted within 7 days of termination
You may request immediate data deletion by contacting us. We will comply within 30 days unless retention is required by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Dead Viking Software, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:
- Your use or misuse of OdinFlow
- Your violation of these Terms or applicable laws
- Your violation of Atlassian's Terms of Service or API usage policies
- Unauthorized access to Jira data via your OdinFlow account
- Any content or data you submit, process, or transmit via OdinFlow
13. Disclaimers and Limitation of Liability
Disclaimers: OdinFlow is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or error-free operation.
We do not warrant that OdinFlow will meet your requirements, operate uninterrupted, be error-free, or that defects will be corrected. You use OdinFlow at your own risk.
Limitation of Liability: To the maximum extent permitted by law, Dead Viking Software shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to:
- Loss of profits, revenue, data, or business opportunities
- Service interruptions or data loss
- Errors in JQL queries or bulk updates that affect Jira data
- Unauthorized access to your Jira instance
- Third-party actions, including Atlassian service disruptions
Our total aggregate liability for all claims related to OdinFlow shall not exceed the amount you paid us in the 12 months preceding the claim or $100, whichever is greater.
Some jurisdictions do not allow exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
14. Trademark Attribution
"Jira", "Atlassian", and related trademarks, service marks, logos, and product names are trademarks or registered trademarks of Atlassian Pty Ltd. OdinFlow is not affiliated with, endorsed by, or sponsored by Atlassian.
"Dead Viking Software" and "OdinFlow" are trademarks of Dead Viking Software.
15. Modifications to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by:
- Posting the updated Terms on our website with a new "Last Updated" date
- Sending email notification to your registered email address (when feasible)
Continued use of OdinFlow after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must cancel your subscription.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of Louisiana, United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of OdinFlow shall be resolved in the state or federal courts located in Louisiana.
You agree to attempt to resolve any disputes informally by contacting us first before pursuing legal action.
17. Severability and Waiver
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
18. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Dead Viking Software regarding OdinFlow and supersede all prior agreements and understandings.
